Seller Portal Terms of Use

Last updated: October 31, 2026

About these terms

These Terms of Use govern your use of the Breakwater Seller Portal, provided by Breakwater Marketplace Inc., trading as Breakwater M&A (“Breakwater,” “we,” “us”).

By using the portal, you agree to these terms. If you use it on behalf of a business, you confirm that you are authorized to do so.

These terms supplement your separate confidentiality and advisory engagement agreements. They do not replace those agreements or change the professional services, fees or confidentiality obligations agreed in them.

Who may use the portal

The portal is intended for invited business owners and their authorized representatives.

You must provide accurate information, use your own authorized access and protect your password, verification codes and private access links. Notify us promptly of suspected unauthorized access.

Contact your Breakwater team if another representative needs access. Do not share your account credentials.

Your documents and information

You retain your rights in the documents and information you provide.

You grant Breakwater and its service providers permission to receive, store, copy, process and display that information as reasonably necessary to provide the services you request, subject to our Seller Portal Privacy Policy and applicable confidentiality obligations.

You confirm that you have authority to share the information and connect any accounts you use. Tell us about relevant confidentiality restrictions and avoid providing unnecessary personal information.

Uploading documents or connecting an account does not authorize public disclosure or unrestricted distribution to prospective buyers. Any later sharing for a sale process must follow the applicable instructions, permissions and agreements.

Connected Google Drive and QuickBooks accounts

Connections are optional and depend on the external provider’s availability and authorization requirements.

Google Drive authorization may allow account-wide read access. The portal separately limits its use to the files or locations you approve. The connector does not edit, delete or reorganize your original Drive files.

QuickBooks authorization uses Intuit’s accounting permissions. The portal uses that connection to read company information and supported reports for the fiscal years and accounting basis you authorize. It does not create transactions, move funds or change your books.

Your external accounts remain subject to their providers’ terms. Connecting them does not give Breakwater ownership of your accounts or records.

Disconnecting and ending access

You may disconnect supported accounts through the portal or revoke authorization through the provider.

Disconnecting prevents future access through that authorization. It does not automatically delete imported documents or separately retained records.

You may ask us to close your portal account or request deletion as described in the Seller Portal Privacy Policy. Closing portal access does not itself terminate an advisory engagement or remove obligations under a separate agreement.

Document review and checklist status

The portal helps coordinate document sharing, appointments and engagement steps. Authorized Breakwater staff may review the information you share.

A checklist status, uploaded document or portal message does not itself constitute an audit, assurance opinion, quality-of-earnings report, confirmed valuation or guarantee of a sale.

Your signed engagement agreement determines the professional services Breakwater has agreed to provide. Material conclusions require appropriate professional review.

Acceptable use

You must not:

  • Access another person’s or business’s information without authorization.

  • Bypass authentication, permissions or other security controls.

  • Upload malicious software or interfere with the portal.

  • Impersonate another person or provide misleading information.

  • Share records unlawfully or without the necessary authority.

  • Use the portal for unlawful or unrelated purposes.

We may restrict or suspend access when reasonably necessary to protect information, investigate misuse, maintain the service or comply with law.

Availability

The portal may be interrupted by maintenance, technical failures or outages affecting external providers.

Keep appropriate copies of your original business records. Contact your Breakwater team if an interruption prevents you from completing an important task.

Privacy

Our Seller Portal Privacy Policy explains how we handle account information, connected-account data and shared records, including retention, deletion and privacy requests.

Read that policy before uploading documents or connecting an external account.

Changes to these terms

We may update these terms as the portal changes. We will provide appropriate notice of material changes and request renewed agreement where required.

Nothing in these terms excludes rights or obligations that cannot lawfully be excluded.
