Seller Portal Privacy Policy

Last updated: October 31, 2026

Who we are

Breakwater Marketplace Inc., trading as Breakwater M&A (“Breakwater,” “we,” “us”), provides the Breakwater Seller Portal to help business owners securely share information and manage their business-sale advisory process.

This policy explains how we collect, use, store and disclose information through the Seller Portal, including information from connected Google Drive and QuickBooks accounts.

Information we collect

We collect information you provide, including:

  • Your name, email address and business contact details.

  • Business information and onboarding answers.

  • Appointment details, agreements, feedback and communications.

  • Documents and financial records you choose to share, such as financial statements, general ledgers and trial balances.

We also collect information needed to operate and protect the portal, including connection status, permissions, sharing selections, checklist activity, session information and technical error records.

Only share information you are authorized to provide. Avoid including personal information that is unnecessary for your engagement.

Google Drive connections

Connecting Google Drive is optional.

Google’s authorization screen requests read access that may cover files across your connected account. Within the portal, you separately approve the files or locations Breakwater may access.

To provide the connection and document-sharing features, we may access account identifiers, file and folder names, metadata and the contents of documents within your approved sharing scope. Authorized Breakwater staff may review the records you affirmatively share for your engagement.

The connector does not edit, delete or reorganize your original Google Drive files.

Breakwater’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including its Limited Use requirements.

QuickBooks connections

Connecting QuickBooks is optional and must be authorized by someone entitled to connect the relevant company.

Intuit’s accounting authorization is broader than the read operations provided by the Seller Portal. Our connector accesses company information and accounting preferences to identify your connection. With your authorization, it retrieves supported financial reports for the fiscal years and accounting basis you select.

Reports may include profit and loss statements, balance sheets, general ledgers and trial balances. These records may contain personal and commercially sensitive information.

The connector does not create transactions, move funds or change your accounting records. Breakwater uses this information to provide services to you, independently of Intuit.

How we use information

We use information to:

  • Provide and secure your portal account.

  • Coordinate appointments, agreements and engagement steps.

  • Receive, organize and review the records you share.

  • Identify missing information and support financial review.

  • Provide the advisory services you request.

  • Communicate with you and respond to support requests.

  • Investigate misuse and meet applicable legal obligations.

We do not sell connected-account information, use it for advertising profiles or creditworthiness decisions, or use it to train general-purpose AI models.

Who can access information

Access is limited to authorized Breakwater personnel and service providers who need information to provide, secure or support the service.

Connecting an account or sharing documents through the portal does not authorize public disclosure or unrestricted sharing with prospective buyers. Any later disclosure during a sale process must follow your applicable instructions, permissions and confidentiality arrangements.

We may also disclose information when required by law or when necessary to investigate fraud, misuse or security incidents, subject to applicable law and provider requirements.

Service providers and international processing

We use service providers for hosting, authentication, document storage and delivery, including Heroku, Vercel, Stytch and services supporting Breakwater Dealroom.

Information may be processed outside Canada, including in the United States. Information processed in another jurisdiction may be subject to that jurisdiction’s laws and lawful government access.

We remain responsible for our handling of your information and use service-provider arrangements and safeguards appropriate to the services provided.

Storage and security

We may store account records, connection information, authorization credentials and copies of documents separately from your original connected accounts.

We use access controls, encrypted connector credentials and other technical and organizational measures designed to protect information. No system or transmission method can guarantee complete security.

Protect your password, verification codes and private access links. Contact us promptly if you suspect unauthorized access.

Retention and deletion

Our standard retention period for imported documents and related analysis is the duration of your engagement plus 90 days after the engagement ends. After that period, our team deletes those records from active systems, except where continued retention is required by law.

Account, agreement, transaction and security records may require different retention periods because of their purpose or applicable legal obligations. Where information must be retained, access and use remain restricted to the relevant purpose.

Deletion is managed by our team. Backup copies may remain until they expire under the applicable backup lifecycle and are not ordinarily available through the portal.

You may contact us to request earlier deletion. We will verify your request and explain any applicable retention exception.

Disconnecting an account

You can disconnect supported accounts through the portal or revoke access through Google or Intuit’s account settings.

Disconnecting stops future access through that authorization. It does not automatically delete documents already imported, related analysis or records retained separately. Contact us if you also want to request deletion.

Your choices and privacy rights

You may contact us to:

  • Request access to your personal information.

  • Request correction of inaccurate information.

  • Withdraw consent or request account closure.

  • Request deletion, subject to applicable retention obligations.

  • Ask questions or raise a privacy concern.

We may need to verify your identity before acting on a request. Withdrawing access or requesting deletion may affect the services we can provide.

Your rights and applicable exceptions depend on your location and the information involved. You may also raise concerns with the privacy regulator responsible for your jurisdiction.

Changes to this policy

We will update this page when our practices change. For material changes, we will provide appropriate notice and obtain additional consent where required before using information for a new purpose.
